Terms of Service & Agency Engagement
Operational terms, billing cycles, IP assignment and liability limits.

1. Engagement Models
Dedicated Retainer Pods: a monthly recurring engagement billed in advance on a rolling 30-day cycle, giving you allocated specialist capacity, a delivery PM and QA coverage.
Pay-As-You-Go Sprints: scoped, fixed-outcome blocks of work requiring an upfront milestone deposit before the sprint begins.
2. Billing, Renewal & Cancellation
Retainers renew automatically every 30 days. To cancel or downgrade, provide written notice at least fourteen (14) days prior to the next renewal date; the current cycle runs to completion.
Sprint deposits are non-refundable once work has begun. Unstarted sprints cancelled in writing before kickoff are refunded in full.
Invoices are payable on receipt. Work may be paused on accounts more than 7 days overdue.
3. Intellectual Property
Upon payment in full, Skaling360 assigns all right, title and interest in the deliverables to the Agency Partner and, where applicable, its end clients.
Skaling360 retains its Background IP — pre-existing frameworks, internal SOPs, templates and reusable libraries — and grants you a perpetual, non-exclusive, royalty-free licence to use that Background IP as embedded in the deliverables.
4. Third-Party Platforms
Delivery depends on third-party platforms including GoHighLevel, the Meta API, Twilio, Google and payment gateways. Skaling360 is not responsible for outages, deprecations, policy changes, account suspensions or data loss caused by those providers.
We will work in good faith to implement workarounds where a platform limitation affects agreed deliverables.
5. Limitation of Liability
To the maximum extent permitted by law, Skaling360's total aggregate liability arising out of or relating to the engagement is capped at the total fees paid by the Agency Partner in the three (3) months immediately preceding the claim.
Neither party is liable for indirect, incidental, special or consequential damages, including lost profits or lost business opportunity.
6. Confidentiality & Governing Terms
All engagements are governed by our mutual White-Label NDA and Delivery SLA, which form part of these terms.
