1. Mutual Non-Disclosure
Skaling360 and the Agency Partner enter a mutual, legally binding Non-Disclosure Agreement covering all Confidential Information exchanged before, during and after the engagement.
Confidential Information includes agency pricing, client lists, end-customer data, CRM snapshots, campaign performance, internal processes, credentials and the existence of the partnership itself.
We never disclose our partnership, your client identities, or any engagement details to third parties without prior written consent. Protection extends to your end clients as third-party beneficiaries of this pledge.
2. Invisible Delivery & Brand Protection
Our delivery pod operates exclusively under your agency's brand, email domain and communication persona.
We publish no client logos, screenshots, case details or results attributable to your agency or its clients without written approval.
3. 12-Month Non-Solicitation
For the duration of the engagement and for twelve (12) months following termination, Skaling360 will not solicit, pitch, contract with or directly contact the Agency Partner's clients or end customers for services of our own.
The same twelve (12) month restriction applies mutually to the hiring or solicitation of either party's staff, contractors or pod specialists.
4. Intellectual Property Ownership
All deliverables — GoHighLevel snapshots, workflows, automation scripts, funnels, creative assets, copy and code — transfer to the Agency Partner and its end clients upon payment in full.
Skaling360 retains its pre-existing Background IP (internal frameworks, SOPs, reusable libraries) and grants a perpetual, non-exclusive licence to use it as embedded within delivered work.
5. Credential & Vault Security
All client credentials, CRM API keys and platform logins are stored exclusively in encrypted password vaults (1Password or Bitwarden) with multi-factor authentication enforced on every pod account.
Access is granted on a least-privilege basis and revoked within 24 hours of a specialist rotating off your account or the engagement ending.
6. Custom & Countersigned NDAs
Agency partners requiring their own NDA template, or a countersigned copy of ours for an end client, can request one at info@skaling360.com. We countersign standard mutual NDAs within one business day.
